Roles & Responsibilities
The role involves hands-on secretarial and compliance tasks across corporate and securities law. Key responsibilities include:
- Assist in ensuring compliance under the Companies Act, 2013 and applicable SEBI regulations for listed and unlisted entities.
- Prepare, review, and submit SEBI filings, periodic disclosures, and event-based announcements within prescribed timelines.
- Draft and maintain statutory records — minutes of meetings, board resolutions, registers, and other secretarial documents.
- Coordinate and execute ROC (Registrar of Companies) filings, annual returns, and other statutory submissions.
- Support in secretarial audits, compliance checks, and due-diligence exercises for transactions or inspections.
- Liaise with regulatory bodies, auditors, company registrars, and cross-functional internal teams to ensure smooth compliance operations.
- Assist in preparing board packs, compliance calendars, and trackers to ensure timely action on regulatory deadlines.
- Keep up-to-date with changes in corporate and securities regulations and recommend process updates where required.
Eligibility Criteria
- Semi-Qualified Company Secretary (CS) — enrolled with ICSI and progressing through final stages preferred.
- 1–2 years of practical experience handling SEBI filings, ROC compliance, or related secretarial tasks.
- Strong understanding of corporate law, SEBI Listing Regulations, disclosure requirements, and ROC procedures.
- Excellent drafting skills for minutes, resolutions, and formal notices; attention to detail is a must.
- Good communication skills and ability to coordinate with internal and external stakeholders professionally.
- Proficient with MS Office (Word, Excel, PowerPoint) and comfortable using compliance trackers and email-based workflows.
- Ability to work under deadlines and manage multiple compliance deliverables simultaneously.
