M&A Integration & Divestitures – What This Role Involves
In this role, you will work closely with senior client stakeholders, investment teams, and cross-functional leaders to make sure that deals deliver their intended value. Typical engagements include:
- Transaction Strategy & Operating Model Design: Helping clients define how the combined or separated organisation should look and operate. This includes designing the target operating model, governance structure, key processes, and synergy roadmap.
- Day 1 / Day 100 / Long-Term Planning: Preparing detailed plans for Day 1 readiness (when the deal closes), Day 100 stabilisation, and long-term integration or separation milestones. You will help identify critical activities, dependencies, and potential risks.
- Functional Transition Planning & Execution: Coordinating workstreams across Finance, HR, IT, Operations, Legal, Supply Chain and other functions to ensure a smooth transition with minimal disruption to business-as-usual.
- Transition Services Agreement (TSA): Supporting TSA planning, execution, and exit, especially in carve-out and divestiture situations where the seller continues to provide certain services for a limited period post-transaction.
- Pre-Deal Operational Assessment & Synergy Planning: Performing operational due diligence, identifying value creation levers, potential risks, and building realistic synergy cases across revenue, cost, and working capital.
- Synergy Baselining, Tracking & Delivery: Helping clients baseline their current performance, define synergy targets, set up tracking mechanisms, and review progress so that committed benefits actually show up in the P&L and cash flows.
Day-to-Day Responsibilities
On a day-to-day basis, you can expect to:
- Work on Excel models, project trackers, and synergy dashboards to support decision making.
- Prepare PowerPoint presentations summarising key findings, plans, and recommendations for client leadership.
- Facilitate or support workshop-style meetings with client teams to align on integration or separation plans.
- Collaborate with colleagues from other PwC teams such as Financial Due Diligence, Tax, Legal, Technology, and Consulting.
- Contribute to knowledge building within the DDV practice by documenting methodologies, case studies, and best practices.
Eligibility Criteria
- Education:
- Full-time MBA from a reputed institute (preferably with specialisation in Finance, Strategy, or Operations), or
- Chartered Accountant (CA) with strong exposure to deals, consulting, or corporate roles.
- Experience: Minimum 2 years of relevant experience in one or more of the following:
- M&A, deal advisory, transaction services, or valuation.
- Management consulting, business transformation, or performance improvement.
- Corporate strategy, FP&A, or integration / separation projects in industry.
- Skills & Competencies:
- Strong analytical and problem-solving skills.
